From $289 all-in + GST. No subscriptions required. No hourly legal fees. Prepared by corporate filing specialists from $389, typically within 2 business days.
Priced by your corporation's age, with its current profile report included. Articles, by-laws, registers, share certificates, and resolutions.
What is a digital minute book?
A digital minute book (also called a virtual minute book, online minute book, or electronic minute book) is your corporation's official record book maintained in electronic form: articles of incorporation, by-laws, director and shareholder resolutions, share certificates, and all statutory registers — organized, searchable, and shareable with your accountant, banker, or lawyer in seconds.
Canadian corporate law (the CBCA and every provincial equivalent) fully permits electronic records, as long as they're organized, accessible, and producible for inspection. A digital minute book satisfies the same legal requirement as a physical one — without the binder that never gets updated.

Why business owners choose us over the alternatives
- Flat, transparent pricing. From $289 all-in + GST for a complete new minute book. Comparable providers charge $199–$249 per year as a subscription, or $450+ through a law firm for annual maintenance alone.
- Every Canadian jurisdiction. Federal, all ten provinces, all three territories — one provider, one format.
- Done-for-you AND self-serve. We prepare the book; the MinuteBook app keeps it current. No other Canadian provider offers both.
- Registry specialists. We file annual returns, incorporations, and corporate changes every day — your minute book is prepared by people who work with these registries directly.
Why an up-to-date minute book matters
An incomplete minute book surfaces at the worst moments: a CRA audit, a bank financing, a shareholder dispute, or the sale of your business. Corporations that cannot produce organized records face failed due diligence, delayed closings, re-papering costs at law-firm rates — and, under most corporate statutes, potential fines. Ten minutes of prevention beats a five-figure legal cleanup.

Frequently asked questions
Is a digital minute book legal in Canada?
Yes. The Canada Business Corporations Act and all provincial corporate statutes permit corporate records to be kept electronically, provided they are organized, accessible, and can be produced in readable form for inspection at the registered office. A digital minute book satisfies the same requirement as a paper binder.
How much does a corporate minute book cost in Canada?
A complete digital minute book for a recently incorporated Canadian company costs $289 self-serve or $389 built by CRS, all-in + GST, from Corporate Registry Services. Older corporations requiring government document retrieval cost from $589 to $1,599 depending on age. Individual documents — resolutions from $79, share certificates $49, by-laws $99 — are available separately.
How fast will I receive my minute book?
Standard packages for corporations up to two years old are typically delivered within two business days. Established and Legacy packages requiring government document retrieval take longer depending on the registry — we confirm the timeline when you order.
I incorporated online and never got a minute book. Is that a problem?
Yes — incorporation services often deliver articles only, leaving the corporation without by-laws, organizational resolutions, registers, or share certificates. Your corporation is legally required to maintain these records. Our Standard package (from $289 all-in + GST) creates the complete minute book from your incorporation documents.
What's the difference between a minute book and an annual return?
An annual return is a yearly government filing that keeps your corporation in good standing on the public registry. A minute book is your internal record of resolutions, registers, and share documents. Both are legally required — we handle annual returns for $159 all-in + GST and minute books from $289.
We'll pull your registry record, confirm what's changed, and file. No lawyer needed.
