What Is a Quebec Annual Declaration?

The Quebec annual declaration (déclaration annuelle) is a statutory filing that updates the REQ's business register with current information about your corporation. Unlike other provinces that use anniversary-based deadlines, Quebec uses a fixed calendar deadline — all corporations must file by the same date each year.

When Is the Quebec Annual Declaration Due?

The Quebec annual declaration is due by March 31 each year, regardless of when the corporation was incorporated or the fiscal year-end.

This fixed deadline makes Quebec compliance straightforward — every Quebec corporation knows the filing is due by March 31 with no per-corporation calculation required.

Who Must File?

All corporations and other legal entities registered with the Registraire des entreprises must file annually:

  • Corporations incorporated under the Quebec Business Corporations Act
  • Extra-provincial corporations doing business in Quebec
  • Partnerships, cooperatives, and other registered entities in Quebec

What Information Is Required?

The Quebec annual declaration requires:

  • Full legal name of the corporation (in French, or bilingual if applicable)
  • NEQ (Numéro d'entreprise du Québec) — Quebec's enterprise number
  • Registered address (domicile) in Quebec
  • Main establishment address
  • Names, addresses, and functions of current directors and officers
  • Description of activities (principal activity code)
  • Shareholder information for closely held corporations (in some cases)

Language Requirements

Quebec has bilingual corporate requirements. The legal name of a corporation incorporated under Quebec law must include a French version. Corporations registered extra-provincially in Quebec may be required to have a French-language name or trade name as well.

How to File

Quebec annual declarations are filed through the Registraire des entreprises portal at registreentreprises.gouv.qc.ca.

Steps:

  1. Access the REQ online portal (clicSÉQUR authentication required)
  2. Search for your enterprise using your NEQ
  3. Select "Soumettre une déclaration annuelle" (File Annual Declaration)
  4. Review and update enterprise information
  5. Pay the government fee ($106 regular service)
  6. Receive confirmation of filing

Government Fee

The Registraire des entreprises charges $106 for an annual updating declaration filed on time, which includes the annual registration fee ($159 for priority service). Filing late adds a penalty of 50% of the annual registration fee, and unpaid registration fees accrue a further 5% plus 1% per month, for up to 12 months.

Consequences of Not Filing

Failure to file the annual declaration by March 31 results in:

  1. The corporation being placed in default status with the REQ
  2. The default is publicly visible on the REQ database — a major risk for business credibility
  3. If the default continues, the corporation may be struck from the register (radiation)
  4. Reinstatement after being struck requires a formal application and additional fees
  5. A struck corporation cannot sign contracts, open bank accounts, or conduct business in its name

Extra-Provincial Corporations in Quebec

If your corporation is incorporated outside Quebec (e.g., Ontario or federally) but carries on business in Quebec, it must register with the REQ as an extra-provincial entity and file an annual declaration each year. This is in addition to the annual filing required in your home jurisdiction.
