Every Ontario corporation incorporated under the Business Corporations Act (Ontario) (OBCA) must file an annual return each year to remain in good standing with the Ontario Business Registry. Missing this filing can result in a notice of intent to dissolve — and ultimately, administrative dissolution of your corporation.
Government fee included. Filed within 1 business day. Deadline monitored every year.
What Is an Ontario Annual Return?
An Ontario annual return is a statutory filing that confirms your corporation is still active, updates the registry with any changes to your directors or registered address, and maintains your corporation's good standing under Ontario law. It is separate from your tax return filed with the Canada Revenue Agency.
When Is the Ontario Annual Return Due?
Ontario annual returns are due within 6 months of your corporation's fiscal year-end. For example, if your fiscal year ends December 31, your annual return is due by June 30 of the following year.
Who Must File?
All corporations incorporated under the Ontario Business Corporations Act must file annually, including:
- Active corporations carrying on business
- Holding corporations
- Non-operating or dormant corporations
- Corporations in the process of winding up
Even if your corporation had no revenue, no employees, and no activity in the year, the annual return must still be filed.
What Information Is Required?
The Ontario annual return requires:
- Full legal name of the corporation
- Ontario Corporation Number (OCN)
- Registered office address in Ontario
- Principal place of business (if different)
- Names and addresses of all current directors
- Names and addresses of all current officers
- Date of the last annual general meeting or written resolution
How to File
Ontario annual returns are filed through the Ontario Business Registry at Ontario.ca/businessregistry.
Steps:
- Sign in with your Ontario.ca Login and Ontario Business Account
- Search for your corporation using your Ontario Corporation Number
- Claim access to the corporation's profile using its 9-digit company key — mailed to the registered office; without it you cannot file
- Select "File Annual Return" from the dashboard
- Review and update your corporation's information
- Submit and receive confirmation of filing
Ontario Annual Return Government Fee
There is no government fee. Ontario charges $0 to file a corporation's annual return through the Ontario Business Registry, whether you file it yourself or through a filing agent. What the filing costs you is the time to get an account, obtain the company key, and complete the return correctly — not a registry fee.
What Happens If You Miss the Filing?
If you do not file your Ontario annual return within the required period, the Ontario Business Registry will:
- Send a notice of failure to comply
- Issue a notice of intent to dissolve
- Administratively dissolve the corporation if no response is received
A dissolved Ontario corporation can be revived under Section 241 of the OBCA, but revival requires a separate application, additional fees, and can take weeks to process. The cost and delay of a revival far outweigh the cost of filing the annual return on time.
Extra-Provincial Annual Returns
If your Ontario corporation is also registered as an extra-provincial corporation in other provinces — for example, British Columbia or Alberta — you must file separate annual returns in each of those provinces as well. Each province has its own deadlines and fees.
File Your Ontario Annual Return Through an OBR Filing Agent
CRS is an authorized filing agent that submits Ontario annual returns directly through the Ontario Business Registry on your behalf. You don't need an Ontario Business Account or to navigate the OBR portal yourself. Filing still needs the corporation's company key: add it when you order, or send it later — and if it has been lost, we'll help you request a replacement (Ontario mails it to the registered office). We prepare the return, file it before your 6-month deadline, and email you the OBR confirmation for your records.
Turnaround: 1 business day from order. Price: $99 + applicable tax, all-in. Ontario charges no registry fee for an annual return; you are paying for the filing to be prepared and submitted correctly, on time, without an account.
We'll pull your registry record, confirm what's changed, and file. No lawyer needed.
