British Columbia is one of the most efficient and internationally-oriented Canadian jurisdictions to incorporate in. The BC Business Corporations Act is a modern statute (2003), BC Registry Services is fast and reliable, and BC has never required Canadian resident directors — making it a longtime default for international founders, tech startups, and holding structures. It also has one distinctive requirement other provinces don't emphasize: the Central Securities Register.
Includes government fees, NUANS (if named), articles, and organizing resolutions. Filed within 1 business day.
Why incorporate in British Columbia?
No Canadian resident director requirement. BC has never imposed a residency rule on directors. Every director must be 18+, but no residency requirement applies — making BC one of the four Canadian jurisdictions (with Alberta, Quebec, and — as of 2023 — Ontario and Nova Scotia) open to fully non-resident founding teams. Federal (CBCA) still requires 25% Canadian residents.
Modern BCA statute with clean drafting. The BC Business Corporations Act was substantially rewritten in 2003, making it one of the more contemporary Canadian corporate statutes. The Articles of Incorporation defaults, share class provisions, and shareholder protections are well-understood by Canadian and US cross-border deal counsel.
Deep Vancouver tech and biotech ecosystems. Vancouver hosts one of Canada's largest tech clusters (Hootsuite, Slack's early roots, Traction on Demand, Bench, Later, and hundreds of Series A/B startups) and a growing biotech sector. Provincial incorporation aligns with local investor and legal ecosystems.
Popular for cross-border and holding structures. BC is a common choice for structures with US, UK, or Asia-Pacific founders, and for personal holding companies. The BCA's flexibility with share classes, restrictions on transfer, and unanimous shareholder agreements supports diverse ownership arrangements.
Fast and reliable filing. BC Registry Services processes online filings quickly — often same-day for named incorporations once the name is cleared. Turnaround is competitive with Ontario and Alberta.
British Columbia incorporation requirements
Under the BC Business Corporations Act:
- Incorporation Application — filed with BC Registry Services, includes the Notice of Articles.
- Articles — the internal governance rules (share classes, transfer restrictions, meetings, director powers).
- Notice of Articles — the public-facing summary of the Articles that gets recorded with the registry.
- Central Securities Register (CSR) — mandatory record of every share issuance, transfer, and cancellation, plus the current shareholder list. Must be maintained at the records office in BC.
- Records office in BC — physical BC address where the corporate records (including the CSR) can be inspected. Can be the same as the registered office.
- At least one director — must be 18+. No Canadian residency requirement.
- BC name reservation or NUANS report — provincial name reservation is sufficient for BC-only operations; NUANS provides broader national protection.
Newly incorporated BC companies pick up two obligations immediately: the annual report, due within two months of the incorporation anniversary, and a transparency register recording who ultimately owns or controls the company. The register is required from day one and is the one most new companies never create.

The BC incorporation timeline
Standard CRS turnaround for a BC incorporation:
- Day 1 (order received): We confirm your intended names, director list, records office, and share structure. Preliminary name check.
- Day 1: BC name reservation (or NUANS) filed. Articles and Notice of Articles drafted.
- Day 1–2: Names cleared. Incorporation Application filed with BC Registry Services.
- Day 2–4: Certificate of Incorporation issued (typically same-day or next-day). Minute book with Central Securities Register, share certificates, and organizational resolutions delivered as signable PDFs. BN application submitted to the CRA.
Total: typically 2–4 business days end-to-end. BC is among the fastest Canadian jurisdictions post-name-clearance.
What happens after you incorporate
Every BC corporation has ongoing statutory obligations. In your first year:
- BC Annual Report — due within 2 months of your anniversary date, filed with BC Registry Services. (BC calls it an Annual Report, not an annual return, but it serves the same statutory purpose.) $43 government fee, filed at $159 all-in through CRS. See our BC Annual Report guide.
- Central Securities Register maintenance — every share issuance, transfer, or cancellation must be recorded in the CSR at your records office. Share issuances also require directors' resolutions and share certificates. See our share certificates guide.
- Directors' resolutions — decisions about share issuances, dividends, officer appointments, and annual approval of financial statements must be documented in the minute book. See our director resolutions guide. CRS prepares these at $79 per resolution set.
- CRA T2 corporate income tax return — annually, due 6 months after fiscal year-end (handled by your accountant, separate from the BC Annual Report).
CRS can bundle all four ongoing services if you'd like to keep everything under one roof.

Frequently asked questions
Do I need Canadian resident directors to incorporate in British Columbia?
No. British Columbia has never imposed a Canadian residency requirement on directors of a BCA corporation. Every director must be 18 or older, but there is no requirement that any of them be Canadian residents. This has made BC one of the most popular Canadian jurisdictions for international founders — particularly US, UK, and Asia-Pacific tech founders — for decades.
What is BC's Central Securities Register requirement?
Every BC corporation must maintain a Central Securities Register (CSR) at its records office in BC. The CSR is the definitive record of every share issuance, transfer, and cancellation, plus the current shareholder list. This differs from other provinces which use a Securities Register but don't call it out as prominently in the statute. The CSR is included in the minute book CRS delivers with every BC incorporation — no separate setup required.
Is BC a good jurisdiction for a tech startup or a holding company?
Yes — BC is one of the most popular jurisdictions for both. Vancouver's tech ecosystem is deep (Hootsuite, Slack, Bench, Traction on Demand, and dozens of Series A/B software companies are BC corporations), and the modern BCA statute is well-understood by cross-border deal counsel. For holding companies, BC is common because of the no-residency rule and BC's tax treatment of certain investment structures. Ask on the consultation call whether BC or federal fits your specific situation.
How long does BC incorporation take?
BC Registry Services is one of the fastest and most reliable registries in Canada. CRS-filed BC incorporations typically complete end-to-end in 2–4 business days: name reservation cleared on day 1, Incorporation Application filed with BC Registry Services on day 1–2, Certificate of Incorporation issued same-day or next-day, and the full minute book delivered as signable PDFs shortly after.
What's the difference between a BC 'name reservation' and a NUANS report?
BC uses its own provincial name reservation system through BC Registry Services — the reservation reserves the name in BC for 56 days. A NUANS report is a national name search that reserves the name across all Canadian jurisdictions. For a BC-only corporation, the BC name reservation is sufficient and cheaper. For a BC corporation planning to expand to other provinces, a NUANS report gives broader protection. CRS files whichever your situation calls for as part of the $699 all-in fee.
We'll pull your registry record, confirm what's changed, and file. No lawyer needed.
