How to File an Alberta Society Annual Return (Form REG3185)
Search by name or Corporate Access Number to confirm the organization's registry status before you file.
Running a society, not a corporation? This page is for organizations incorporated under Alberta's Societies Act. If you have a business corporation, you want how to file your Alberta corporate annual return instead — it's a different form, a different deadline and a different filing route.
Every Alberta society — community leagues, sports clubs, cultural and religious associations, parent councils — must file an annual return with Alberta Corporate Registry every year to stay active and in good standing. It is filed on form REG3185, Annual Return for a Society, and the one fact that trips up most volunteer boards is this: it does not go through a registry agent. Societies file directly with Corporate Registry. This guide covers the deadline, what the form asks for, what to attach, how to send it, and what happens when a society stops filing.
Government fee included. Filed within 1 business day. Deadline monitored every year.
When is an Alberta society annual return due?
A society's return is due by the last day of the month following its anniversary month — the month the society was incorporated. A society incorporated in September, for example, has until October 31 each year. Corporate Registry sends a reminder to the society's registered office before the deadline; if the registered office has moved and nobody filed a change of address, the reminder goes to the old address and the deadline is easy to miss.
Plan the return around your annual general meeting. The financial statements that accompany the return are the ones presented to members at the AGM, so most societies hold the AGM, approve the statements, elect the board, and then file — all inside the anniversary window.
What does form REG3185 ask for?
The Annual Return for a Society confirms the society still exists and reports who runs it. Expect to provide:
- The society's legal name and Corporate Access Number
- The registered office address in Alberta (and whether it has changed)
- The names and addresses of the current directors and officers, with their positions
- The date of the most recent annual general meeting
- The society's financial statements for the year, showing its assets, liabilities, income and expenditure
- The signature of an officer of the society, with the date
The official form is at cfr.forms.gov.ab.ca/Form/REG3185; download the current version each year rather than reusing last year's, because the Registry revises it.
How do you file it?
Directly with Alberta Corporate Registry: complete REG3185, attach the financial statements, and send it by mail (Corporate Registry, Box 1007 Station Main, Edmonton AB T5J 4W6) or by email to the Registry's corporate inbox. This is the opposite of the corporate process, where the government has no public counter and everything goes through an authorized service provider — for societies, the service providers are not involved at all.
If the board has changed since last year, file a Change of Directors (REG12362) with the return; if the registered office has moved, a Change of Address (REG0022). The full list of society forms is on alberta.ca's registration forms for non-profits page.
Before you send anything, confirm the current filing fee (if any) and the email address with Corporate Registry at 780-427-7013 (toll-free 310-0000 within Alberta) — both change from time to time and the form is the authoritative source.
What happens if a society misses its annual return?
The society drops out of good standing, and a society that keeps missing returns is eventually struck from the register and dissolved. For a non-profit that is a serious outcome: the organization stops existing as a legal entity, so it can no longer hold its bank account, own or lease property, sign contracts or receive grants in its own name — and granting bodies check registry status before they pay. Getting back requires a revival application, filed with every outstanding annual return.
If you have received a notice from Corporate Registry that your society is in default, file the outstanding return at once — that is what stops the clock.
Society, non-profit company or corporation: which return is yours?

How CRS can help
CRS is a Calgary-based corporate registry agent. We cannot file a society's annual return for you — the Registry doesn't accept them through agents — but we can prepare the return and the accompanying change notices so that the officer signing it has a complete, correct package, and we can confirm the society's current registry status before you file. Contact us and tell us it's a society. For business corporations, the annual return is filed online in 1 business day: file an Alberta corporate annual return.
Frequently asked questions
When is an Alberta society annual return due?
By the last day of the month following the society's anniversary month — the month it was incorporated under the Societies Act. Corporate Registry sends a reminder to the society's registered office ahead of the deadline, so keep that address current.
Can a registry agent file a society annual return?
No. Unlike a corporate annual return, a society's annual return (form REG3185) is filed directly with Alberta Corporate Registry — by mail or email — not through an authorized registry agent. CRS can prepare it for you, but the filing itself goes to the Registry.
What has to be attached to an Alberta society annual return?
The society's financial statements for the year, the current list of directors and officers, and the registered office address. The form must be signed by an officer of the society. Check the current REG3185 for anything added since this guide was written.
What happens if a society doesn't file its annual return?
It falls out of good standing and can be struck from the register and dissolved — which ends its legal existence and, with it, its eligibility for grants and its ability to hold property or bank accounts in its own name. A struck society has to apply for revival to come back.
Is the society annual return the same as a corporate annual return?
No. Corporations file form REG3062 through an authorized registry agent under the Business Corporations Act. Societies file form REG3185 directly with Corporate Registry under the Societies Act, on a different deadline and with financial statements attached. Non-profit companies under Part 9 of the Companies Act have a third form, REG11322.
We'll pull your registry record, confirm what's changed, and file. No lawyer needed.
